Constitution amended at Annual General Meeting

On Tuesday 12 November 2019 the Telecommunications Industry Ombudsman (TIO) Limited held its Annual General Meeting. A key agenda item was proposed amendments to the TIO's Constitution. Members present at the meeting unanimously passed the amendments.

The amendments include:

  • Removal of the right for the two largest members to nominate for the positions of Directors with Industry Experience
  • Clarifying the ability of the Ombudsman to delegate rights, powers and obligations to any staff member of the company, where permitted by the TIO Terms of Reference
  • Removed the requirement for advertising for Directors with Consumer Experience, Industry Experience or Independent Directors in a ‘major daily newspaper’ and replaced with a requirement to conduct a search process ‘through a medium or media likely to attract a substantial pool of suitably qualified candidates’
  • Directors who have served a first term and performed well may be re-appointed by special resolution of the Board for a second term

Other amendments include the removal of the outdated ‘Terms of Reference’ that are currently annexed to the Constitution and removal of the Transitional Provisions and the Transitional Schedule.
