Unitary Governance: General meeting 26 February 2014

As members were advised in September 2013, the Board and Council of TIO Ltd have endorsed a unitary governance structure for the company. A general meeting of members, where there will be a vote on the unitary governance structure, has been called for Wednesday, 26 February 2014.

Members will be requested to approve the unitary governance model

The proposed unitary governance structure has the unanimous support of the TIO Board and Council and will be put to a vote of members at a general meeting on Wednesday, 26 February 2014. Each member will receive a notice of the meeting and detailed explanatory notes, to be mailed in late January 2014.

All members of TIO Ltd are eligible to attend the general meeting and to vote on the new structure.

The move to unitary governance will involve some existing members of the TIO Board and Council being appointed to the new unitary Board. There will be a new independent Chair of the Board and a new role of independent Director with not-for-profit governance experience. All Board appointments will be contingent on members' approval of the model.

The jurisdiction of the TIO scheme and its day-to-day operations will be largely unchanged.
